Share Capital & the Ownership Denominator
Ownership percentages are only meaningful when the numerator and denominator are both correct for the applicable rule.
The basic idea
A reported ownership percentage is generally a relationship between a holder's relevant interest and an applicable share or voting-rights denominator. The exact legal calculation varies by jurisdiction.
Why percentages move
A holder can cross a threshold because its relevant interest changed, because the denominator changed, or because both changed.
Treasury and issued shares
Treasury shares, issued shares and voting rights can be treated differently depending on the market and filing framework. Do not substitute a generic share count for the regulator's applicable basis.
Practical workflow
When a threshold trigger appears, check the prior and current denominator, the holder's reported position and the rule that determines the percentage.
