Major Shareholder Disclosures
Major-holder reporting is where ownership percentage, share capital and regulatory thresholds become critical.
Why thresholds matter
Many markets require disclosure when ownership crosses specified levels. The exact threshold and calculation method depend on the jurisdiction and instrument.
The denominator can change
Issued share capital, voting rights, treasury shares and other denominator changes can affect a reported percentage even when the holder's position has not changed in the same way.
Do not mix regimes
FCA, AMF, HKEX/SFC, SEBI and other regimes can use different forms, thresholds and definitions. A global terminal needs jurisdiction-aware logic.
Research the event
When a threshold is crossed, identify whether the change came from the holder's position, the denominator, or both.
